These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Flock Inc. ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party.
The Service and its original content, features, and functionality are and will remain the exclusive property of Flock Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Flock Inc.
The Site may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions").
By making Contributions to our Service, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose.
Creators who sell memberships, courses, events, or other offerings through Flock use their own connected Stripe merchant account. The creator is the merchant of record for those sales and is responsible for applicable taxes, customer refunds, disputes, chargebacks, and payout management. Stripe provides payment processing and charges its processing fees to the creator's connected account.
Flock collects a 10% application fee from creator sales. That fee is returned proportionally when a creator sale is partially refunded, returned fully when a creator sale is fully refunded, and returned when a payment dispute is lost.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
